1. Acceptance of Terms

By downloading, installing, or using AIVidly ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and AIVidly.

2. Description of Service

AIVidly is an AI-powered video creation platform that enables users to:

• Generate videos from text prompts using AI technology
• Create AI voiceovers in multiple languages and voices
• Apply AI-powered video effects and animations to photos and videos
• Generate custom images and illustrations
• Add captions and subtitles automatically
• Export content optimized for various social media platforms

3. User Accounts and Age Requirements

To use AIVidly, you must create an account and meet our age requirements. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account
• Be at least 9 years of age to use the App - AIVidly is rated 9+ on the Apple App Store

By creating an account, you represent and warrant that you are at least 9 years old. If you are under 9, you must not access or use AIVidly. We reserve the right to terminate accounts of users who do not meet the minimum age requirement.

4. Subscriptions and Payments

4.1 Token System

AIVidly operates on a token-based system. Certain features require tokens to use. You can purchase token bundles or subscribe to premium plans for additional tokens and features.

4.2 Subscriptions

• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• Payment is charged to your Apple App Store account at confirmation of purchase
• Subscriptions can be managed and canceled through your App Store account settings
• No refunds are provided for unused portions of subscription periods

4.3 Pricing Changes

We reserve the right to modify subscription prices and token costs. You will be notified of price changes in advance, and changes will apply to subsequent billing periods.

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of content you create using AIVidly. By using the App, you grant us a limited license to:

• Process and store your content to provide the service
• Use AI models to generate requested outputs
• Display your content within the App (e.g., in your library)

5.2 AI-Generated Content

Content generated by AIVidly's AI models (videos, images, voiceovers, scripts) is provided to you under a non-exclusive license. You may use this content for personal and commercial purposes, subject to these restrictions:

• You may not resell or redistribute raw AI-generated assets
• You may not use content to train competing AI models
• You may not create content that violates applicable laws or third-party rights

5.3 AIVidly's Intellectual Property

The App, including its design, features, code, and branding, is owned by AIVidly and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the App.

6. Acceptable Use Policy and Content Guidelines

6.1 Age-Appropriate Content

AIVidly is rated 9+ on the Apple App Store. While we provide powerful AI tools, you are responsible for ensuring your content complies with these Terms and applicable laws. Content you create should:

• Be appropriate for general audiences (9+)
• Comply with our content guidelines and restrictions below
• Not violate third-party intellectual property rights
• Not be used to mislead, harm, or defraud others

6.2 Prohibited Content

You agree NOT to use AIVidly to create or generate:

• Illegal content: Content that violates any applicable laws or regulations
• Explicit or adult content: Sexually explicit, pornographic, or obscene material
• Violent or graphic content: Excessively violent, gory, or disturbing content
• Hateful or discriminatory content: Content that promotes hatred, violence, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
• Deepfakes or impersonations: Misleading content that impersonates real individuals without consent
• Misinformation: Deliberately false or misleading information intended to deceive
• Infringement: Content that violates intellectual property rights, trademarks, or copyrights
• Harmful content: Content that promotes self-harm, dangerous activities, or illegal substances
• Spam or malicious content: Mass-produced spam, phishing, malware, or scams

6.3 Other Prohibited Activities

• Attempt to circumvent usage limits, token requirements, or payment systems
• Interfere with or disrupt the App's functionality or security
• Use the App for automated or bulk processing without authorization
• Reverse engineer, decompile, or attempt to extract source code
• Share account credentials or allow unauthorized access to your account

Violation of this Acceptable Use Policy may result in immediate account termination without refund, and we may report illegal activity to law enforcement authorities.

7. AI Model Limitations

AIVidly uses third-party AI models that may have limitations:

• Generated content may not always match your expectations
• AI models may produce unpredictable or incorrect outputs
• Quality and speed may vary based on server availability
• We do not guarantee specific results or creative outcomes

8. Service Availability

We strive to provide reliable service, but we do not guarantee:

• Uninterrupted or error-free operation
• That all features will be available at all times
• Compatibility with all devices and operating systems
• Permanent storage of your content

We reserve the right to modify, suspend, or discontinue any part of the service with or without notice.

9. Termination

We may terminate or suspend your account immediately, without prior notice, if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Abuse or harass our staff or other users
• Repeatedly create content that violates third-party rights

You may delete your account at any time through the App settings. Upon termination, your right to use the App ceases immediately.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIVIDLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE APP.

11. Indemnification

You agree to indemnify and hold harmless AIVidly from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App
• Content you create or distribute
• Your violation of these Terms
• Your violation of any third-party rights

12. Third-Party AI Services and Data Processing

12.1 Third-Party AI Processing

AIVidly integrates with third-party AI service providers (OpenAI, Replicate, ElevenLabs, PiAPI, and others) to provide content generation features. When you use AI generation features, your prompts, uploaded media, and generation parameters are sent to these third-party providers for processing.

12.2 Consent to AI Data Sharing

Before using any AI generation features for the first time, you will be asked to provide explicit consent for sharing your content with third-party AI providers. By providing consent, you acknowledge and agree that:

• Your prompts, uploaded media, and generation settings will be sent to third-party AI providers
• These providers may store temporary logs and metadata to operate their services
• We do not control how long these providers retain such data
• Each provider has their own terms of use and privacy policies
• You can revoke your consent at any time in the app Settings, which will disable AI generation features

12.3 Third-Party Terms and Policies

By using AIVidly, you also agree to comply with the terms of use and privacy policies of our third-party AI providers. We are not responsible for the actions, policies, or data handling practices of these third parties. For more information, please review:

13. DMCA and Copyright Complaints

If you believe content created through AIVidly infringes your copyright, please contact us with:

• Description of the copyrighted work
• Location of the infringing content
• Your contact information
• A statement of good faith belief
• Your electronic or physical signature

14. Governing Law and Disputes

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration, except where prohibited by law.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the App or via email. Your continued use of AIVidly after changes take effect constitutes acceptance of the new Terms.
